涉外商務合同按繁簡不同，盡管可以采取不同書面形式，如正式合同（Contract）、協議書/合約（Agreement）、確認書（Confirmation）、備忘錄（Memorandum）、訂單（Order）等等，但是一般都包含如下幾個部分：
一、合同名稱（Title）
二、前文/導言（Preamble）
訂約日期和地點（Date and place of signing ）
合同當事人及其國籍、主營業所或住所（Signing parties and their nationalities, principal place of business or residence addresses）
當事人合法依據［Each partys authority，比如，該公司是“按當地法律正式組織而存在的”（a corporation duly organized and existing under the laws of XXX） ］或比如，該公司是“根據英屬維爾京群島的法律所組建的公司”，其通訊地址為…（a company incorporated under the laws of British Virgin Islands，and having its correspondence address at…）

三、本文（Body）
1.定義條款（Definition clause）：
客戶（們）customer(s)；單獨合同（individual contract(s)）；交付地點（delivery point）；
零件（parts）；產品（products）；定購單（purchase order）；地域（Territory）；商標（trademark）。
有關術語：
The parties agree as follows：雙方一致同意以下事項：
Intermediate and/or ultimate purchaser 中間客戶以及/或者最終買家

委派（appointment）；購銷（purchase and sale）；價格（price）；付款（payment）；檢查（inspection）；交貨（delivery）；保險（insurance）；產品的更新（product modifications）；新產品（new products）；下級經銷商（sub-distributors）；專利（patents）；商標（trademarks）；商品名稱（trandenames）；促銷及技術支持（sales promotion and technical assistance）；保證事項（warranty）；賠償（indemnity）；保密事項（confidentiality）；
有關術語：
1）appointment and acceptance 委派與接受
as the sole and exclusive distributor for the sale，marketing and distribution of the Procucts for and in the Territory。
作為該產品在該地域內唯一的、準許的經銷商，從事本產品的銷售、營銷及分銷事宜。
2）sale and distribution 銷售及分銷
During the term of this agreement 在本合約期限之內

Any failure by either party to enforce at any time any of the provisions of this agreement and/or any individual contract Shall not be construed to be a waiver of such provisions or of the right of such party to enforce such provisions at a later time。

2.You hereby agree to indemnify, hold harmless and defend the BBC in respect of all damages, costs and expenses, including reasonable legal fees and litigation expenses, arising out of or as a result of any breach of the Standard Licence Terms or otherwise in connection with your use of the BBC Feed (including the BBC Content).
您同意，在出現因違反標準使用批準條款或在其它場合您使用BBC材料提供服務（包括BBC內容）而導致損失、賠償或開支（包括合理的法律費用和訴訟開支）時，您會維護BBC，并且會向BBC作出賠償，并認為BBC無須為問題負責。
